Compliance Risk Assessment: A Case Study in Prevention and Corporate Governance

Studio Bottero case study on compliance risk assessment, risk management and corporate governance

How can a company move beyond reacting to problems and build a system that identifies and manages risks before they become critical? This case study explores how Studio Bottero supported a mid-sized industrial business in strengthening its organisational framework and internal control system.

Against a backdrop of economic uncertainty and evolving regulatory requirements, compliance risk management goes well beyond a checklist of formal obligations. It calls for clear processes, well-defined responsibilities, proportionate controls and continuous improvement.

From reactive responses to prevention

The company featured in this case, referred to as Alfa S.p.A., needed to review its organisational arrangements to identify compliance risks earlier and establish more effective communication between senior management, operating teams and supervisory bodies.

The aim was both to reduce exposure to errors and irregularities and to safeguard business continuity and reputation through a sustainable, forward-looking approach.

Risk mapping and Studio Bottero’s support

Working alongside management, Studio Bottero assessed the main risks associated with the company’s industry, processes and operating model. This included both business and operational risks, creating an opportunity to reassess roles, procedures and organisational vulnerabilities.

The project combined ex-ante assessments, designed to evaluate the potential impact of regulatory and organisational changes, with ex-post reviews, used to establish whether the controls introduced were working effectively in practice through discussions with the people involved.

A further key step was assessing residual risk — the level of risk remaining after existing controls have been applied. The findings informed corrective actions and an annual compliance plan, designed to evolve alongside the business and its workforce.

Stronger governance through clear responsibilities

The work extended beyond risk identification. With Studio Bottero’s support, the board of directors reviewed organisational, administrative and accounting arrangements, formalised responsibilities and developed clearer organisational charts and process maps.

Particular attention was paid to coordination between operational management, compliance and internal audit. Structured reporting flows and formally approved documents, including business plans, operating budgets and risk mitigation policies, help make internal control an integral part of corporate decision-making.

The board of statutory auditors and risk-based oversight

In the case examined, the board of statutory auditors also plays a part in moving towards risk-based oversight: assessing not only whether procedures exist, but whether they operate effectively.

This approach places emphasis on the adequacy of controls, the independence of specialist functions, the quality and timeliness of information flows, and regular coordination with directors and advisers. Effective oversight depends on all these stakeholders working together.

Compliance as a foundation for resilience

This case illustrates how compliance risk management can create an opportunity to improve organisational effectiveness and strengthen corporate governance. Prevention means understanding processes, measuring exposure, assigning responsibility and acting before emerging issues disrupt operations.

Studio Bottero helps businesses design organisational arrangements and control frameworks tailored to their needs, combining practical expertise with a proportionate approach.
